1. Obtain Digital Signature Certificate (DSC)
The first step in LLP registration is to obtain Digital Signature Certificates (DSC) for all proposed partners. DSCs are used to digitally sign the LLP registration documents and authenticate the identity of the partners.
2. Obtain Designated Partner Identification Number (DPIN)
Next, each partner must apply for a Designated Partner Identification Number (DPIN) from the Ministry of Corporate Affairs (MCA). DPIN serves as a unique identification number for partners and is required for filing LLP registration documents.
3. Name Reservation
Before applying for LLP registration, it is essential to ensure that the proposed LLP name is available and complies with the naming guidelines specified by the MCA. Once the name is approved, it is reserved for 90 days.
4. Prepare LLP Agreement
The LLP agreement outlines the rights, duties, and responsibilities of the partners and governs the operation of the LLP. It must be drafted and signed by all partners before filing for LLP registration.
5. File Form FiLLiP
The LLP registration application is filed online through Form FiLLiP (Form for incorporation of Limited Liability Partnership). The application includes details such as LLP name, registered office address, partners' details, and LLP agreement.
6. Pay Registration Fees
Upon successful submission of the LLP registration application, the prescribed registration fees must be paid online. The fees depend on the capital contribution of the LLP and the state in which it is registered.
7. Obtain Certificate of Incorporation
Once the Registrar of Companies (ROC) verifies the LLP registration application and documents, a Certificate of Incorporation is issued. The LLP comes into existence from the date mentioned in the certificate.
